Offer and Acceptance

• All offers are subject to change and non-binding unless otherwise stated
• Orders become binding only upon written confirmation from UGA Biopharma
• Technical specifications and documentation may be subject to change

Prices and Payment Terms

• Prices are quoted in Euro unless otherwise specified
• All prices are exclusive of VAT and other applicable taxes
• Payment terms are net 30 days from date of invoice
• Late payments may incur interest charges as permitted by law

Delivery and Shipping

Our delivery terms ensure transparent and reliable service for all our customers.

Delivery Times

• Delivery times are approximate and not guaranteed unless expressly confirmed
• We are not liable for delays caused by force majeure or circumstances beyond our control
• Partial deliveries are permitted unless otherwise agreed

Shipping and Risk

• Risk passes to the customer upon delivery to the carrier
• Shipping costs are borne by the customer unless otherwise agreed
• Customers must inspect goods upon delivery and report any damages immediately

Warranty and Liability

Product Warranty

• Warranty period is 12 months from date of delivery unless otherwise specified
• Warranty covers defects in material and workmanship under normal use
• Warranty does not cover damages caused by improper handling or storage

Liability Limitations

• Our liability is limited to direct damages up to the contract value
• We are not liable for indirect or consequential damages
• Liability for gross negligence and willful misconduct remains unaffected

Intellectual Property

Protection of intellectual property is fundamental to our business relationships.

Property Rights

• All intellectual property rights remain with UGA Biopharma GmbH
• Customers receive a license to use products for their intended purpose
• No rights to patents, trademarks, or know-how are transferred

Confidentiality

• Both parties agree to maintain confidentiality of business information
• Confidentiality obligations survive termination of the business relationship
• Standard confidentiality period is 5 years from disclosure
